ESSENTIAL INFORMATION

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS OF THIS TERMS OF USE (" AGREEMENT"). YOUR ACCEPTANCE OF THE TERMS OF THIS AGREEMENT IS AN ABSOLUTE CONDITION OF YOUR USE OF THE WritEasy.co WEBSITE, ANY OTHER WEBSITE, SERVICE, TOOL, AND/OR APPLICATION MADE AVAILABLE BY WritEasy (AS DEFINED BELOW) OR ITS SUBSIDIARIES OR AFFILIATES (INDIVIDUALLY AND COLLECTIVELY, THE " SITE") AND FORMS A LEGAL AGREEMENT BETWEEN YOU AND WritEasy  LLC. (HEREAFTER " WritEasy"). BY ACCESSING ANY SERVICE OR PART THEREOF UNDER THE SITE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. WritEasy RESERVES THE RIGHT TO CHANGE THESE TERMS AT ANY TIME WITHOUT PRIOR WRITTEN NOTICE, AND YOU AGREE TO BE BOUND BY SUCH CHANGES. THIS AGREEMENT IS NOT INTENDED TO ALTER THE TERMS AND CONDITIONS OF ANY LICENSE AGREEMENT YOU MAY HAVE WITH WritEasy, ITS SUBSIDIARIES OR AFFILIATES, AND TO THE EXTENT OF ANY CONFLICT, THE TERMS AND CONDITIONS OF YOUR LICENSE AGREEMENT SHALL PREVAIL.

  1. OWNERSHIP The Site is owned and operated by WritEasy LLC. All images on the Site are owned by WritEasy or its partners / contributors and are protected by international copyright laws and international treaty provisions. WritEasy retains all rights not expressly granted by this Agreement. The license contained in this Agreement will terminate automatically without notice from WritEasy, if you fail to comply with any provision of this Agreement. Upon termination, you must delete and destroy all materials obtained from the Site, copies, and related documentation thereof. In addition, WritEasy reserves the right to terminate the Site without notice. 

  2. AUTHORIZED USE WritEasy hereby grants you a non-exclusive, limited, non-transferable and revocable license to use and access the Site, subject to terms of your purchase, as may be applicable. WritEasy reserves the right to modify, suspend or discontinue any part of the Site at any time and without notice to you. WritEasy shall not be liable to you or any third party for such actions. 
    Any content downloaded by you from the Site, including, without limitation, any files, images incorporated in or generated by the software, and data accompanying the software (collectively, the " Content") is licensed to you by WritEasy. Your use of the Content, or any intellectual property rights therein, is dependent upon your acceptance of the WritEasy End User License Agreement (EULA) and any relevant licensing agreements. 
    Subject to the relevant licensing agreements and the terms and conditions therein, when you use our artificial intelligence (" AI") tools and services, you retain ownership of all intellectual property rights in the text and/or content you input into the AI tools and services. WritEasy retains ownership of the underlying AI tools and services, algorithms and any intellectual property rights used to provide the AI tools and services. 
    You also agree that your input may be retained by us for a reasonable period of time for the purposes of: (i) improving or enhancing the Site; (ii) analyzing and measuring the effectiveness of the Site; (iii) fulfilling contractual obligations; and for the (iv) compliance with legal obligations. 
    For the usage of the AI services and tools, you understand and acknowledge that similar or identical creations may be created by other parties using their own prompts, and you understand that all AI creations are fictitious and are not intentionally related to a real person and/or property. You also acknowledge and agree that the AI Content is algorithmically generated and may not be entirely error-free. You are solely responsible for reviewing and editing the AI Content to ensure it meets your specific needs. WritEasy shall not be liable for any damages arising from your use of the AI tools and services or any errors or inaccuracies in the AI Content. 
  3. LINKS TO THIRD PARTY SITES WritEasy provides links to third-party sites as a convenience to you. WritEasy does not control third party sites or links to third party sites. Links to third-party sites are not an endorsement by WritEasy of such sites. WritEasy is not responsible for the content of any linked sites. 
  4. LIMITED WARRANTY
  5. WritEasy represents that it has the right to enter into this Agreement and has the right to grant this Agreement under these terms.
    WritEasy warrants that the Content will be free from defects in materials and workmanship under normal use for a period of thirty (30) days from the date you download or receive it. 
    EXCEPT AS PROVIDED ABOVE, THE CONTENT AND THE SITE ARE PROVIDED 'AS IS' 'AS AVAILABLE' AND 'WITH ALL FAULTS' BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WritEasy DOES NOT WARRANT THAT THE CONTENT AND THE SITE WILL MEET YOUR REQUIREMENTS OR THAT ITS USE WILL BE UNINTERRUPTED OR ERROR FREE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE CONTENT AND THE SITE ARE WITH YOU. SHOULD THE CONTENT PROVE DEFECTIVE, YOU (AND NOT WritEasy OR AN AUTHORIZED PERSONNEL OR OTHER COMPUTER DEALER) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. THE USAGE OF AI IS A NEW TECHNOLOGY AND IT DOES NOT ALWAYS WORK AS EXPECTED. NO GUARANTEES ARE MADE TO THE QUALITY, ACCURACY, SUITABILITY AND RELIABILITY OF THE RESULTS 

    Certain states do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. You have specific rights under this warranty, but you may have others, which vary from state to state

  6. YOU REPRESENT, WARRANT AND COVENANT THAT:
  7. You are at least sixteen (16) (if you are residing in EU) / eighteen (18) years of age (if you reside everywhere else aside from EU) and have the right to enter into this Agreement; 
  8. Your use of the Content and the Site will not and/or cause to violate any rights including but not limited to copyrights, intellectual property rights, trademark, privacy, or any other applicable law or regulation of any country, state, other governmental entities or any third party;
  9. The information you provide to WritEasy is accurate and true, including without limitation all credit card information. 

    COPYRIGHT NOTICE:

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and it is accessible on this Site, you may notify us by email. a notification of claimed infringement must be a written communication provided to WritEasy designated contact email that includes substantially the following:

    PLEASE NOTE THAT UNDER FEDERAL LAW, IF YOU KNOWINGLY MISREPRESENT THAT ONLINE MATERIAL IS INFRINGING, YOU MAY BE SUBJECT TO HEAVY CIVIL PENALTIES. THESE INCLUDE MONETARY DAMAGES, COURT COSTS, AND ATTORNEYS' FEES INCURRED BY US, BY ANY COPYRIGHT OWNER, OR BY ANY COPYRIGHT OWNER'S LICENSEE THAT IS INJURED AS A RESULT OF OR RELYING UPON YOUR MISREPRESENTATION. YOU MAY ALSO BE SUBJECT TO CRIMINAL PROSECUTION FOR PERJURY. 
    NOTE ： This information is provided exclusively for notifying WritEasy that your copyrighted material(s) might have been infringed. Any other inquiries, including technical support requests, billing questions, reports of email abuse and third-party reports of piracy, will not receive a response through this process 
  12. Copyright Counter-Notifications If you believe in good faith that your content was wrongly removed in response to a copyright complaint, you may send a counter-notification to our Designated email, as mentioned in Section 6 above, containing the following information: 
  13. Counter Repeat Infringer Policy and Takedown Policy WritEasy is committed to complying with copyright laws  and requires all users of the Site to comply as well. In order to protect the rights of copyright holders, WritEasy implements a repeat infringer policy under which it may terminate the accounts of users who repeatedly violate the law. WritEasy repeat infringer policy is implemented seriously. A user may be a "repeat infringer" due to multiple copyright complaints against them within a certain period of time; however, WritEasy reserves the right to terminate a user upon receiving any number of copyright notifications from content owners. If a user’s account is terminated pursuant to WritEasy repeat infringer policy, the user will be notified. 
    The Site might use AI to generate creations and such creations may be unintentionally similar to copyrighted protected material or any real person. We respect rights holders internationally. If you believe your copyrighted work or image is being infringed on the Site, please send a takedown notice per Section 6 above and we will process your request.
  14. INCORRECT PRICING AND INFORMATION WritEasy has used reasonable effort to ensure that the pricing and information stated in the Site are accurate, however there are possibilities due to genuine error that the Content's information is incorrect or the Content is priced wrongly, in such situation WritEasy has the right to cancel the transaction and refund the payment, if the transaction has been made. 
  15. LIMITATION OF REMEDIES

INDEMNIFICATION You agree to fully defend and indemnify WritEasy, its employees, directors, and officers, and anyone else associated with WritEasy, and each of their successors, licensees, and assigns free and harmless from any and all claims, liabilities, costs, losses, damages, or expenses, including attorneys' fees and expenses, arising from the breach of the warranty above or the terms of this Agreement. 
  17. USAGE WritEasy  reserves the right to change and amend the prices of any credit / subscription package or the credit download rates, provision of any associated services and/or tools, bundling of such services and/or tools, and download sizes without prior notice to you. However, WritEasy will always endeavour to notify you of any impending price changes.
  18. NO WAIVER Failure by WritEasy to enforce any provision of this Agreement will not be deemed a waiver of future enforcement of that or any other provision. 
  19. RESTRICTIONS You may NOT:
  20. FAIR USE WritEasy may, at its sole discretion, restrict and/or disable any person or entity from using the Site should it be determined that such usage adversely impacts the behavior of the Site and/or performance of the servers. 
  21. TERMINATION
  22. WritEasy reserves the absolute right to block, restrict, suspend and/or terminate your access to the Site or any part thereof, and/or the Content at any time and without notice or liability to you. 
  23. JURISDICTION
  24. LEGAL FEES If WritEasy is obligated to go to court to enforce any of its rights, or to collect any fees, you agree to reimburse WritEasy for its legal fees, costs, and disbursements if WritEasy is successful 
  25. ASSIGNABILITY The parties are independent contractors and no employment, agency, or joint venture is created hereunder. This Agreement, and any rights and licenses granted hereunder may not be transferred or assigned by You but may be assigned by us without restriction 
  26. ENTIRE CONTRACT You acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions. You further agree that it is the complete and exclusive statement of the agreement between you and WritEasy, which supersedes any proposal or prior agreement, oral or written, and any other communication between you and WritEasy relating to the subject of this Agreement. The explanations to FAQ's and other explanations and content provided in the Site are for your information only and are not, and shall not be construed as, part of this Agreement 
  27. SEVERABILITY Should any provision of this Agreement be held to be void or invalid, that fact will not affect any other provision, and the remainder of this Agreement will be construed to most closely give effect to the parties' intentions. 
  28. PRIVACY POLICY We only use your information as described in the privacy policy which is incorporated into these this Agreement by reference 
    You further agree that by your continued use of the Site, you agree to the terms of this Agreement and Privacy Policy. If you do not agree to your information being used in the manner stated in our Privacy Policy, please cease from using the service(s) provided by the Site.
  29. PROMOTIONAL LOGO Your continued use of the Content, services and/or the Site implies your full consent to WritEasy use of your corporate / business identity logos for promotional purposes of WritEasy without the need for payment of any consideration thereof. 
  30. LANGUAGE This Agreement is written in English with a reference translation in another language (if necessary). In the event of any conflict in interpreting or construing the terms of this Agreement, the English version shall prevail.
